In exchange for access to all the tools provided by PartnerNet, I agree to the following:

Implement hardware upgrades as required to facilitate the transfer of daily sales transactions or POS data to 
Sonic.
*	Send daily POS data from all drive-ins within my franchise group to Sonic Industries Inc. ("Sonic") via 
FTP function, POS system vendor, or other methods to be determined by Sonic on a per franchise organization basis.

Understand that in time, POS product codes will be standardized chain-wide.
*	Comply with standardized POS key layouts and translation table requirements established by Franchisee Advisory Council ("FAC") members for the purpose of providing online sales data reporting tools to the Partners and Managers of the drive-ins as well as to vendors to enable the recipients to develop management, procurement, distribution, and sales efficiencies.

Put in place and maintain PartnerNet security measures
*	Understand and agree to the roles and responsibilities of managing a MySonic Microsite (as described below).

Participate in on-going training
*	Participate in ongoing E-Learning and other designated training events.

TERMINATION
*	Access to PartnerNet may be temporarily disabled or terminated if the above requirements are not met.
*	A franchisee group's MySonic tab and the associated users may be temporarily disabled or terminated if the administrator roles / responsibilities or the rules / regulations are not strictly observed.

MYSONIC MICROSITE ADMINISTRATOR ROLES & RESPONSIBILITIES
*	Preserve security by setting up and maintaining all active and inactive Users within the franchisee group.
*	Keep the MySonic Microsite fresh with current news, documents, forms, contact information and resource links.
*	Follow established guidelines for Internet, e-mail, and calendar usage at the drive-in level of the franchisee group.  (See the PartnerNet E-mail Guidelines below).

SONIC PARTNERNET GENERAL RULES AND REGULATIONS 
(These rules and regulations not only apply to ALL Sonic PartnerNet sections, but also apply to ALL users, each of whom will have to agree to these rules and regulations before gaining first time access to 
the Sonic PartnerNet site.)

Sonic PartnerNet and MySonic Microsite FRANCHISEES, Administrators, and Users agree and acknowledge that:
*	Sonic, Digital Evergreen, and their designees shall have the right to update, modify, and change the PartnerNet web site, its functions, operations, content, and purpose from time to time.
*	Sonic, Digital Evergreen, and their designees retain the right to monitor all Sonic PartnerNet and MySonic Microsite tabs created by franchisees or their groups on a routine or random basis to ensure that inappropriate material is not being posted or transmitted.
*	Sonic shall have the right to poll, on a daily basis, sales and other information including product mix, at the drive-in level and share this information with vendors and franchisees in the manner and for the purposes described above.  Sonic plans to provide this information to vendors, and on a more restricted basis, to franchisees, in an aggregated format that will provide franchisee and drive-in anonymity.
*	Sonic, Digital Evergreen, and their designees have the right to routinely monitor electronic transmissions and, therefore, no Users will have any expectations or rights of privacy regarding material posted on or transmitted through the Sonic PartnerNet or MySonic Microsite, which includes e-mail messaging.
*	Use of the site at anytime and in any manner must be in strict compliance with the rules and regulations established by Sonic or Digital Evergreen and the nature and content of such use must be limited to Sonic business.  Franchisees and franchisees groups hereby agree that if and when they or their designated users, fail or refuse, by act of omission, whether intentionally or by negligence, to abide by this agreement and the directives of Sonic or Digital Evergreen regarding access to or use of the Sonic PartnerNet and MySonic Microsite, such act or omission shall constitute a breach of the Sonic license agreement or license agreements belonging to the franchisee or the franchisees of the affected franchisee group.  Furthermore, Sonic shall have the right to require any franchisee at anytime to sign this agreement before the franchisee or franchisee's group may use the Sonic PartnerNet or MySonic Microsite.
*	Users, sales data reporting access, news, documents, forms, and resource links may be added only in accordance with Sonic PartnerNet and MySonic Microsite training guidelines.
*	Any web site links permitted by Sonic to be added to the Sonic PartnerNet and MySonic Microsite must be for the express purpose of providing external information resources that will enhance the Sonic business.  Links to sites containing inappropriate material prohibited by Sonic or this agreement will not be allowed.  Sonic, Digital Evergreen, and their designees will have the right to remove all such prohibited or unauthorized links without notice to or permission from the person who created the links.
*	No harassing, discriminatory, defamatory, derogatory, sexual, obscene, illicit drug, gambling, or illegal activities or related communications will be permitted or tolerated.  Sonic, Digital Evergreen, and their designees will have the right to delete the objectionable material without prior notice to or permission from the person posting the material to the Sonic PartnerNet or MySonic Microsite.  Evidence of such activity may be grounds to terminate the User's access to the Sonic PartnerNet and MySonic Microsite.  In appropriate instances, Sonic, Digital Evergreen, or their designees may be obligated to report Illegal activity to law enforcement authorities.
*	By using the Internet access provided by Sonic, each PartnerNet and MySonic Microsite User agrees to defend, indemnify, and hold Sonic, Digital Evergreen, and their designees, as well as their respective officers, directors, employees, and agents, harmless against any and all actions, damages, and injuries proximately caused by or attributable to the User's inappropriate activities on the Sonic PartnerNet site and MySonic Microsite.  
*	Sonic, Digital Evergreen, and their designees cannot and do not guarantee that the Internet connection, Sonic PartnerNet, or MySonic Microsites will operate at all times without error or interruption.  Each User agrees that if an error or interruption occurs, that Sonic, Digital Evergreen, and their designees, as well as their respective officers, directors, employees, and agents, will not be liable for any resulting damage or injury.
*	Sonic, Digital Evergreen, and their designees reserve the right to terminate Sonic PartnerNet and MySonic Microsites without advance notice at any time for any reason, including temporarily disabling the sites for repairs or upgrades or permanently discontinuing operation of the sites.
*	Sonic, Digital Evergreen, and their designees reserve the right to terminate any User's right of access to and use of the Sonic PartnerNet and MySonic Microsite sites without advance notice at any time for any reason.
*	Each User agrees that business information concerning Sonic sales, promotions, advertising, development plans, food products and packaging, vendors, distributors, and suppliers, equipment development, and growth must and shall be carefully guarded by the User at all times to protect against unauthorized disclosure and disclosure to unauthorized persons.  Each User acknowledges that such violations must be promptly reported to Sonic for investigation and appropriate enforcement, protective, or remedial measures.

PARTNERNET E-MAIL/CALENDAR USAGE GUIDELINES AND CONDITIONS
*	PartnerNet Users may access the Internet for official franchisee group business only.  No Users, unless required for specific job-related activities, may log on continuously to the Sonic PartnerNet site or MySonic Microsite.
*	No User may, by act or omission, whether intentionally or by gross negligence, introduce viruses to, or maliciously tamper or interfere with, the computer hardware or software systems that operate the Sonic PartnerNet or MySonic Microsites.
*	Prohibited activities include:  downloading, forwarding, or otherwise distributing materials that are not related to Sonic business or that Sonic deems to be pornographic, discriminatory, defamatory, derogatory, false, misleading, illegal, unauthorized disclosures, or otherwise injurious to the Sonic System (as defined in the Sonic license agreements).
*	Users are acting as representatives of their franchisee group and are identified on the Internet by their Sonic e-mail address.  As such, Users must at all times act in a manner that will not damage or adversely reflect upon the Sonic System (as determined in Sonic's sole opinion) and must use considerable caution and good judgment when accessing sites on the Internet.
*	All appropriate precautions must be taken to screen for and detect viruses and prevent their spread.  Therefore, each franchisee group must, at its expense, promptly install and continuously maintain suitable virus protection systems.
*	The truth, accuracy, and security of information on the Internet and in e-mail should be considered suspect until confirmed by a reliable source.
*	Users shall not place Sonic's, Digital Evergreen's, or any franchisee group's material (sales information, marketing promotions, internal correspondence, business plans, personal or personnel data, etc.) on any publicly accessible Internet site.
*	The Internet does not guarantee the privacy and confidentiality of information.  Sensitive material transferred over the Internet may be at risk of detection by a third party.  Users must use caution and care when transferring such material in any form.
*	Unless otherwise noted, all software on the Internet should be considered copyrighted work.  Therefore, all Users are prohibited from downloading unlicensed software without the express permission of their MySonic Microsite Administrator or their franchisee group.
